Amendment to the Standard Contract for Microsoft Marketplace
This amendment modifies the Standard Contract for Microsoft Marketplace (the "Agreement"). Capitalized terms have the meanings given in the Agreement. As provided in the Agreement, the terms of this amendment control where they conflict with the Agreement. All other terms of the Agreement remain unchanged.
- Limitation of Liability: Notwithstanding anything in the Agreement, for Offerings ordered on a subscription basis, Publisher's maximum liability to Customer for any incident giving rise to a claim, including any unauthorized access, use, or disclosure of Customer Data due to a breach of Publisher's security obligations, will not exceed the amount Customer paid for the Offering during the 12 months before the incident. If Customer considers this limit unsuitable for its use of the Offering, Customer may contact Publisher to request a different limit. Any such limit applies only if agreed in writing by both parties.
- Defense of third-party claims: Each party's defense and indemnity obligations under the Agreement are subject to the Agreement's limitations of liability, as amended by this amendment, and are not excluded from them.
- AI-generated output: The Offering is an AI system. Output (the answers, summaries, extracted data and reports the Offering generates) is drawn from Customer Data and cites its sources, but it may be incomplete or inaccurate, and its quality depends on the quality of Customer Data. Customer should check the cited sources before relying on Output for an important decision, and is responsible for how it uses Output. Output is not Documentation, and Publisher does not warrant that Output is accurate or complete. Third-party AI model providers that Publisher uses to process Customer Data are subprocessors for the purposes of the Agreement's privacy terms.
